These Website Terms of Use (the “Terms”) govern your access to and use of the website located at www.alphalum.com, including all associated webpages, content, materials, downloads, features, and services made available through the website (collectively, the “Site”).

These Terms apply only to the Site. They do not govern any separate purchase order, supply agreement, development agreement, NDA, employment relationship, software license, event registration, or other written agreement you may enter into with AlphaLum.
The Site is intended to provide general information about AlphaLum, its technologies, products, capabilities, news, careers, and business activities.
Unless expressly stated otherwise on a specific page or form, the Site is made available for informational and business evaluation purposes only and does not require the creation of a user account.
Certain sections, downloads, services, events, campaigns, job applications, or interactions made available through the Site may be subject to additional terms, notices, or policies. In the event of a conflict between these Terms and such additional terms, the additional terms will govern for that specific matter.

Except for the limited license expressly granted in Section 3, no right, title, or interest in or to the Site or any Content is transferred to you. All rights not expressly granted are reserved by AlphaLum.
Nothing on the Site grants, by implication, estoppel, or otherwise, any license or right to use any patent, patent application, copyright, trademark, design right, trade secret, know-how, or other proprietary right of AlphaLum or any third party.
Where AlphaLum makes specific materials available for download, you may download and use those materials solely for your internal informational purposes, provided that you do not modify them, remove proprietary notices, or use them in a misleading, unlawful, or commercial resale context unless AlphaLum has expressly agreed otherwise in writing.
The names “AlphaLum”, “AlphaLum SA”, the AlphaLum logo, and other names, logos, visual identifiers, and branding elements displayed on the Site are proprietary to AlphaLum or used by AlphaLum with permission.
Except as strictly necessary to refer to AlphaLum in a truthful and non-misleading manner, you may not use, reproduce, display, distribute, or otherwise exploit any such names, logos, or brand elements without AlphaLum’s prior written consent.
Nothing on the Site grants any right or license to use any such names, logos, or brand elements.
If you submit information to AlphaLum through the Site, including through contact forms, demo requests, career-related forms, newsletter signups, or general inquiries, you represent that the information you provide is accurate and that you have the right to provide it.
Unless AlphaLum has expressly agreed otherwise in writing, including under a separate confidentiality agreement, please do not submit confidential, proprietary, export-controlled, or otherwise sensitive technical, commercial, or legal information through the Site.
If you voluntarily submit ideas, suggestions, comments, improvements, proposals, or other feedback relating to the Site, AlphaLum, or AlphaLum’s products, technologies, or services (“Feedback”), you agree that:
(a) the Feedback is provided on a non-confidential basis;
(b) AlphaLum may use, reproduce, adapt, disclose, and otherwise exploit the Feedback for any lawful purpose without restriction or obligation to you; and
(c) no compensation, reimbursement, or attribution is owed to you solely because of such use.
This Section 7.3 does not apply to personal data, which is handled in accordance with our Privacy Policy.
The Site may contain links to third-party websites, platforms, social media pages, documents, tools, or resources that are not owned or controlled by AlphaLum.
Such links are provided for convenience only. AlphaLum does not control and is not responsible for the content, availability, security, policies, or practices of any third-party website or resource. The inclusion of a link does not imply endorsement, affiliation, or approval unless expressly stated.

Unless expressly stated otherwise in a written agreement signed by AlphaLum, the Content does not constitute engineering advice, manufacturing advice, legal advice, regulatory advice, investment advice, procurement advice, or any binding commitment by AlphaLum.
Nothing on the Site constitutes or should be construed as:
(a) an offer to sell or a solicitation of an offer to buy any product, service, or security;
(b) a representation that any product or technology is available in any jurisdiction or will be made commercially available on any particular timeline; or
(c) a binding promise regarding future features, specifications, roadmaps, performance, certifications, manufacturing volumes, or business relationships.

To the fullest extent permitted by applicable law, the Site and all Content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, reliability, availability, or quiet enjoyment.
To the fullest extent permitted by applicable law, AlphaLum and its affiliates, directors, officers, employees, contractors, agents, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunity, anticipated savings, goodwill, use, or data, arising out of or in connection with the Site or these Terms, even if advised of the possibility of such damages.
To the fullest extent permitted by applicable law, AlphaLum will not be liable for any direct damages arising out of or in connection with your use of, or inability to use, the Site, except to the extent such damages are finally determined by a competent court to have resulted directly from AlphaLum’s wilful misconduct or gross negligence.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.
AlphaLum may, without notice and in its sole discretion, suspend, restrict, or terminate your access to all or any part of the Site if AlphaLum reasonably believes that:
(a) you have violated these Terms;
(b) your use of the Site creates a security risk, legal risk, or other harm for AlphaLum, the Site, or any third party; or
(c) suspension or termination is required for operational, legal, or regulatory reasons.
Sections that by their nature should survive termination or expiration of these Terms will survive, including Sections 5, 6, 7.3, 8, 9, 10, 11, 15, 16, and 17.
Your use of the Site is also subject to AlphaLum’s Privacy Policy, Swiss Federal Act on Data Protection (nFADP) and GDPR and, where applicable, Cookie Policy, which describe how AlphaLum collects, uses, stores, and otherwise processes personal data in connection with the Site.
By using the Site, you acknowledge that your personal data may be processed in accordance with those policies and applicable data protection laws.
Certain information, documents, software, technologies, or technical data made available through the Site may be subject to applicable export control and sanctions laws and regulations.
You agree not to access, use, download, export, re-export, disclose, or otherwise transfer any such information or material in violation of applicable export control or sanctions laws, including those of Switzerland, the European Union, the United States, and any other relevant jurisdiction.
These Terms and any non-contractual obligations arising out of or in connection with them or the Site shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of laws rules.
Subject to Section 15.3, the courts of the Canton of Vaud, Switzerland, shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Site.
If you are a consumer residing in a jurisdiction whose mandatory laws give you the right to bring claims in your local courts or benefit from mandatory local consumer protections, nothing in these Terms deprives you of those rights.
These Terms, together with any policies or additional terms expressly incorporated by reference, constitute the entire agreement between you and AlphaLum regarding your use of the Site and supersede all prior or contemporaneous understandings regarding that subject matter.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be deemed modified to the minimum extent necessary to make it valid and enforceable while preserving its intent as closely as possible.
No waiver by AlphaLum of any provision or breach of these Terms will be deemed a waiver of any other provision or any subsequent breach.
You may not assign or transfer these Terms, or any rights or obligations under them, without AlphaLum’s prior written consent. AlphaLum may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law.
These Terms do not confer any rights on any person or entity other than you and AlphaLum, except where expressly stated otherwise.
AlphaLum will not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet or telecommunications failures, cyberattacks, government action, epidemic or pandemic events, or failures of third-party hosting or service providers.
These Terms are drafted in English. If AlphaLum provides a translation for convenience, the English version shall prevail to the extent permitted by applicable law.
